End-User License Agreement

1. Agreement to Terms

This End-User License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity, "You" or "User") and FlowGo ("Company", "We", "Us", or "Our") for the use of the FlowGo software application and services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to these terms, you must not use the Service.

2. License Grant

Subject to your compliance with this Agreement, FlowGo grants you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the Service for your internal business purposes
• Use the Service in accordance with the subscription plan you have selected
• Access and use any documentation, features, and updates provided by FlowGo

3. License Restrictions

You agree not to, and will not permit others to:

• Copy, modify, or create derivative works of the Service
• Reverse engineer, decompile, or disassemble the Service
• Rent, lease, lend, sell, redistribute, or sublicense the Service
• Use the Service for any unlawful purpose or in violation of any applicable laws
• Remove, alter, or obscure any proprietary notices on the Service
• Use the Service to transmit any malicious code or engage in unauthorized access
• Interfere with or disrupt the integrity or performance of the Service
• Attempt to gain unauthorized access to the Service or its related systems

4. Subscription Plans and Payment

4.1 Subscription Tiers

FlowGo offers multiple subscription tiers with varying features, storage limits, and pricing:

• Freemium Plan: Free tier with limited features and usage
• SME & Startup Plan: Paid tier for small to medium enterprises
• Bookkeeping & Accounting Firms Plan: Specialized tier for accounting professionals

4.2 Payment Terms

If you subscribe to a paid plan:

• You agree to pay all fees associated with your selected subscription plan
• Payment is due in advance on a monthly or annual basis as selected
• All fees are non-refundable except as required by law or as expressly stated in this Agreement
• We reserve the right to modify pricing with 30 days' notice to existing subscribers

4.3 Free Trial

We may offer a free trial period. You will not be charged until the trial period expires. You may cancel at any time during the trial period without charge.

5. Data and Privacy

5.1 Your Data

You retain all ownership rights to the data, documents, and information you upload or submit to the Service ("Your Data"). By using the Service, you grant FlowGo a limited license to process, store, and transmit Your Data solely for the purpose of providing the Service.

5.2 Data Security

FlowGo implements industry-standard security measures to protect Your Data. However, no method of transmission or storage is 100% secure, and we cannot guarantee absolute security.

5.3 Data Processing

The Service uses artificial intelligence and optical character recognition (OCR) to extract data from documents you upload. By using the Service, you consent to this automated processing of Your Data.

5.4 Privacy Policy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into this Agreement by reference.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with this Agreement. You are prohibited from:

• Uploading or transmitting any content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Violating any applicable local, state, national, or international law
• Infringing upon the intellectual property rights of others
• Transmitting any viruses, malware, or other malicious code
• Attempting to gain unauthorized access to other users' accounts or data
• Using the Service to send spam or unsolicited communications

7. Third-Party Integrations

The Service may integrate with third-party accounting software and services (such as AutoCount and QuickBooks). Your use of such third-party services is subject to their respective terms and conditions. FlowGo is not responsible for the availability, functionality, or terms of third-party services.

8. Intellectual Property

The Service, including all software, content, designs, trademarks, and other intellectual property, is owned by FlowGo and protected by copyright, trademark, and other intellectual property laws. This Agreement does not grant you any ownership rights to the Service.

9. Termination

9.1 Termination by You

You may terminate this Agreement at any time by canceling your subscription and ceasing all use of the Service. Upon termination, you may request a copy of Your Data within 30 days.

9.2 Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice, if:

• You breach any provision of this Agreement
• Your payment method fails or your account is past due
• We determine that your use of the Service poses a security risk
• We are required to do so by law

9.3 Effect of Termination

Upon termination:

• Your right to access and use the Service will immediately cease
• We may delete Your Data after a reasonable retention period
• You remain responsible for all fees incurred prior to termination
• Provisions that by their nature should survive termination will continue to apply

10. Warranties and Disclaimers

10.1 Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 No Guarantee of Accuracy

While FlowGo uses advanced AI and OCR technology, we do not guarantee that data extraction will be 100% accurate. You are responsible for verifying all extracted data before using it in your accounting systems.

10.3 Service Availability

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free. We reserve the right to modify or discontinue the Service at any time.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLOWGO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from the Service
• Any bugs, viruses, or other malicious code that may be transmitted through the Service
• Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Service

IN NO EVENT SHALL FLOWGO'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID TO FLOWGO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless FlowGo and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

• Your access to or use of the Service
• Your violation of this Agreement
• Your violation of any third-party right, including any intellectual property right or privacy right
• Any claim that Your Data caused damage to a third party

13. Updates and Modifications

FlowGo reserves the right to modify, update, or discontinue the Service or any features thereof at any time without prior notice. We may also update this Agreement from time to time. We will notify you of material changes via email or through the Service. Your continued use of the Service after such notification constitutes acceptance of the modified Agreement.

14. Export Compliance

The Service may be subject to export control laws and regulations. You agree to comply with all applicable export and import laws and regulations and will not export, re-export, or transfer the Service to prohibited countries or individuals.

15. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which FlowGo is registered, without regard to its conflict of law provisions.

Any disputes arising from this Agreement shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration association, except that either party may seek injunctive relief in court for intellectual property infringement.

16. General Provisions

16.1 Entire Agreement

This Agreement, together with our Privacy Policy and any other legal notices published by us, constitutes the entire agreement between you and FlowGo regarding the Service.

16.2 Severability

If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Agreement will otherwise remain in full force and effect.

16.3 Assignment

You may not assign or transfer this Agreement or your rights under it without our prior written consent. We may assign this Agreement without restriction.

16.4 Waiver

No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term.

16.5 Force Majeure

FlowGo shall not be liable for any failure to perform due to causes beyond its reasonable control, including but not limited to acts of God, war, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
